Do I need a lawyer to buy or sell a business?

While it is not required to have a lawyer represent you in the purchase or sale of a business, it is highly recommended. Given the complexity of the business sale/purchase transaction, one or both parties usually bring on an attorney to handle negotiations, document drafting and revision, and the explanation of each party’s role in the transaction. Having an attorney represent you throughout the process will save you money, time, and future headaches. You will have peace of mind knowing that a professional is handling the transaction for you, walking you through the process and explaining each step, and getting you the best deal and securing your responsibilities in the transaction.

How can I protect myself during a business partnership or joint venture?

What is a Trademark, and why do I need to register mine?

A Trademark is a logo, slogan, word, or phrase that serves as a source identifier to distinguish your services or products/goods from others. Registering your trademark federally through the United States Patent and Trademark Office (USPTO), allows you to have federal trademark protection which prevents others from using your trademark across the country. It also helps establish your brand and protects it from others who may decide to use a confusingly similar or same mark.

What is the difference between ™ and ®?

The symbol is used to let others know that the trademark’s common law rights are being claimed by the business using that specific mark. This symbol does not mean that the trademark is legally registered in any state or federally. On the other hand, the ® symbol is used to let the public know that the trademark is federally registered by the USPTO and the business claims federal protection over that trademark.

What is the process for obtaining a U.S. Trademark Registration?

In a nutshell…The process usually begins with a search being conducted to determine the risk of applying for registration of your desired Trademark. Then the application is filed by your attorney with the United States Patent and Trademark Office. The application is then assigned and reviewed by a Trademark Examiner. The process may also involve a Office Actions being issued which are essential legal objections raised by your Examiner as to why they believe your Trademark should not be registered. Your attorney responds to these Actions and argues for registration of your Trademark. Once your trademark is accepted and published in the Official Trademark Gazette and there are no third-party objections, your trademark is registered. How long does the U.S. Trademark registration process take?

The process can vary, however, it takes on average about 12-18 months to get your trademark registered in the United States. Factors such as correct application filing, Office Action issuance, and third-party opposition may delay your trademark registration.

How long does it take to get a contract, business, or trademark registration completed?

Every transaction is unique. If the contract involves strict drafting services only the contract can usually be prepared and finalized within 7-10 business days. If the contract involves drafting, review, and negotiation services the contract may take anywhere from 7 business days to one month, it all depends on the parties and their attorney’s turn around time. We can only assure you that Khalaifeh Law will effectively and efficiently work to meet your goals and legal needs.

Business registration for New York and New Jersey usually take one to two weeks for approval to be received. However other state-specific requirements may lengthen the process by a few weeks or even months.
